General Terms and Conditions
1. Preamble
1.1. Gold Energies B.V. (“Machex” or the “Platform”) operates an online marketplace for the buying, selling, and leasing of industrial machinery.
1.2. On the Platform, users (hereinafter referred to as “User” or “Seller”) may publish machinery listings and communicate with other users.
1.3. These General Terms and Conditions govern the legal relationship between Machex and all users of the Platform.
2. Nature of the Platform
2.1. Machex is solely a listing and communication platform.
2.2. Machex is:
- not a seller
- not a buyer
- not an intermediary or broker
2.3. All transactions conducted through the Platform are carried out directly between users.
3. Scope of Services
3.1. Machex provides the following services:
- Creation and publication of listings
- Searching and viewing listings
- Enabling communication between users
3.2. Machex may automatically translate listing content into multiple languages. Machex shall not be liable for any translation errors.
3.3. Machex reserves the right to modify, suspend, or discontinue its services at any time.
4. User Accounts
4.1. The Platform is intended solely for commercial users (companies and professionals).
4.2. The User agrees to:
- provide accurate and complete information
- keep account credentials secure
4.3. Machex reserves the right to:
- suspend accounts
- permanently terminate accounts
5. Listing Publication and Rules
5.1. Users may only publish listings for specific and actual machinery.
5.2. Each listing must:
- include technical details
- be placed in the correct category
- contain authentic images
5.3. The following are prohibited:
- misleading listings
- copied content
- spam or keyword manipulation
- multiple listings for the same product
5.4. Sold machinery must be removed immediately.
5.5. In listings:
- company logos may not be used as machine images
- fake or placeholder images are not allowed
5.6. The User is solely responsible for the content of their listings.
6. Contact Information and Data Sharing
6.1. By publishing a listing, the User agrees that their contact information (including phone number and email address) may be displayed on the Platform.
6.2. Such information may be used by other users for communication purposes.
7. Contractual Relationship
7.1. All agreements made through the Platform are concluded directly between users.
7.2. Machex is not a party to these agreements.
8. Disclaimer of Liability
8.1. Machex shall not be liable for:
- the accuracy of listings
- the condition of products
- the reliability of sellers
- payment transactions
- agreements between users
8.2. Users conduct all transactions at their own risk.
9. Fraud and Risk
9.1. Users are responsible for conducting necessary checks before entering into any transaction.
9.2. Machex shall not be liable for fraud, disputes, or any damages arising from user interactions.
10. Control of Listings
10.1. Machex reserves the right to:
- review listings
- modify listings
- delete listings
- reject listings
10.2. Machex is not obligated to provide prior notice to users regarding such actions.
11. Content Usage Rights
11.1. By uploading content, the User grants Machex the right to:
- publish
- reproduce
- translate
- modify
such content.
11.2. These rights are:
- worldwide
- perpetual
- free of charge
12. Paid Services
12.1. Machex may offer certain services for a fee.
12.2. Payments:
- are collected in advance
- are non-refundable
13. Technical Liability
13.1. Machex shall not be liable for:
- system interruptions
- data loss
- technical errors
14. Intellectual Property
14.1. All Platform content belongs to Machex.
14.2. Unauthorized use is prohibited.
15. International Use
15.1. The Platform operates globally.
15.2. Users are responsible for complying with the laws of their respective jurisdictions.
16. Amendments
16.1. Machex reserves the right to update these Terms and Conditions at any time.
17. Governing Law
17.1. These Terms and Conditions shall be governed by the laws of Netherlands.
18. Jurisdiction
18.1. The courts of the location where the company is registered shall have exclusive jurisdiction over all disputes.
